GTCS – GENERAL TERMS AND CONDITIONS OF SALE

- Purpose of the General Terms and Conditions of Sale
These General Terms and Conditions of Sale (hereinafter “GTCS”) are intended to define the terms and conditions applicable to the sale of products, new or refurbished IT equipment, accessories, software, IT services, consulting, Odoo integration, cloud services, training, and any other service offered by Nematek Solutions via its website, online store, or any other sales channel. Any order placed with Nematek Solutions implies the client’s unconditional acceptance of these GTCS.
- Scope of application
The GTCS apply to all sales made by Nematek Solutions in Cameroon, to individual (B2C) or professional (B2B) clients. These GTCS prevail over any other document or condition issued by the client, unless otherwise agreed in writing by Nematek Solutions. Nematek Solutions reserves the right to modify these GTCS at any time; the applicable conditions are those in force at the date of order validation.
- Products and services offered
Nematek Solutions offers:
- new or refurbished IT equipment, including laptops, accessories, peripherals, networking equipment, and hardware solutions;
- software and licenses;
- professional services such as IT consulting, development, cybersecurity, DevSecOps, Odoo integration and configuration, website creation, branding, hosting, technical support, and maintenance;
- cloud services, IT security solutions, system configurations, and technical assistance;
- professional training programs, online or in-person, provided through the Nematek Academy.
Descriptions, photographs, or technical information displayed on the Site are indicative and have no contractual value; variations may occur depending on stock availability or technical developments.
- Orders
Orders may be placed via the Site, direct contact, or formal quotation. An order is considered final only after written confirmation or electronic validation by Nematek Solutions, and after receipt of payment or an agreed deposit. Nematek Solutions reserves the right to refuse or cancel an order in case of obvious error, product unavailability, technical issue, suspected fraud, non-payment, or any legitimate reason.
- Pricing and payment terms
Prices displayed on the Site or communicated by Nematek Solutions are indicated in FCFA/$ and may include or exclude taxes depending on applicable legislation. Nematek Solutions reserves the right to modify its prices at any time, without prejudice to already validated orders. Payment may be made via accepted methods: mobile payment, bank transfer, cash at agency, accepted electronic means, or any other available payment method.
Any order for professional services may require a minimum deposit or full payment before work begins. In case of delay or non-payment, Nematek Solutions reserves the right to suspend or cancel the ongoing service, without any compensation owed.
- Product delivery (zone: Cameroon only)
Products are delivered exclusively in Cameroon, to the addresses provided by the client. Communicated delivery times are indicative and may vary depending on location, carrier availability, and logistical conditions. Nematek Solutions cannot be held responsible for delays attributable to the carrier, weather conditions, force majeure, or any circumstance beyond its control.
Risks related to products (damage, loss, theft) are transferred to the client upon delivery to the carrier or upon availability at the pickup point. The client must check the condition of the package upon receipt and report any anomaly within 24 hours.
- Return policy and absence of withdrawal right
In accordance with industry practices for refurbished IT equipment, no return, exchange, or refund is accepted after order validation, except in case of proven product defect attributable to an initial technical fault.
Refurbished products may show slight signs of use that do not affect functionality. These do not constitute grounds for return, refund, or withdrawal.
No right of withdrawal applies to:
- refurbished products;
- activated or downloaded software;
- services already started or executed;
- online training already opened or accessed.
- Warranty
All refurbished products sold by Nematek Solutions benefit from a limited warranty, as specified at the time of sale. This warranty covers only functional defects not related to client mishandling, intentional or accidental damage, unauthorized repair attempts, or system modifications.
Services are provided with the expected level of diligence and expertise in the IT sector; however, Nematek Solutions cannot be held responsible for data loss, software incompatibilities, third-party failures, or results dependent on client-owned technical elements.
- Execution of professional services
For IT, cloud, DevSecOps, cybersecurity, consulting, or Odoo services, the client acknowledges that the quality of results depends on the accuracy of the information provided. Nematek Solutions cannot guarantee results if the client provides incomplete, incorrect, or unusable data.
Nematek Solutions cannot be held responsible for:
- data loss;
- pre-existing cyberattacks or infections;
- failures due to external factors (outages, third-party errors, pre-existing vulnerabilities);
- consequences related to client systems or configurations.
- Training
The purchase of training grants access to educational content strictly reserved for the client’s personal use. Any reproduction, distribution, sharing, or resale is strictly prohibited. No refund is granted once access is provided.
- Limitation of liability
Nematek Solutions shall not be held liable for any indirect damage, financial loss, business interruption, data loss, or intangible harm resulting from the use of a product or service. Nematek Solutions’ liability, in any case, shall not exceed the amount paid by the client for the concerned service or product.
- Force majeure
Nematek Solutions shall not be held liable for non-performance caused by a force majeure event: natural disasters, conflicts, network failures, cyberattacks, pandemics, strikes, major logistical difficulties, or any unforeseeable situation beyond Nematek Solutions’ reasonable control.
- Applicable law and jurisdiction
These GTCS are governed by the laws of the Republic of Cameroon. Any dispute relating to their interpretation or execution shall be submitted to the competent courts of Douala or Yaoundé.
